Abstract

The board compensation is one of the most sensitive themes to be treated. The remuneration as a whole must be perceived as fair and not be directly related to the short-term results, thereby avoiding embarrassing situations. The financial crisis started in 2007 promoted tighter legal standards for the financial sector in general and in particular for the policies of compensation and disclosure of the board compensation of companies in the financial sector. Adopting a case study methodology as a complement of the theoretical dimension which constitutes the first part of this paper, the compensation of Portuguese banks directors listed on NYSE Euronext Lisbon (PSI 20 Index) was studied. The results reveal that there isn’t a coherent set of best practices regarding board compensation of financial institutions located in Portugal. It is expected, considering the legislative changes produced, that in the near future new practices will be defined for the financial sector, converging among them.

Jorge José Martins Rodrigues, ISCAL

Jorge José Martins Rodrigues nasceu em 1958. Casado, uma filha. Doutor em Gestão (2007), mestre em Ciências Empresariais (1993) e licenciado em Gestão (1985), pelo Instituto Superior de Ciências do Trabalho e da Empresa (ISCTE), em Lisboa, Portugal. Economista. Professor Coordenador no Instituto Superior de Contabilidade e Administração de Lisboa (ISCAL) do Instituto Politécnico de Lisboa. Investigador na UNIDE/ISCTE, registado na Fundação para a Ciência e Tecnologia (FCT).  

Exerceu funções de gestão (planeamento, marketing, comercial, finanças) no sector privado, público e cooperativo, durante mais de quinze anos.

Como actividade científica participa em júris de doutoramento e de mestrado, intervém em eventos científicos com apresentação de comunicações, publicação de artigos em revistas com referee, de capítulos em livro, working papers, e outras publicações. 

É autor dos livros Corporate Governance: Uma introdução (Edições Pedago, 2008) e Corporate Governance: retomar a confiança perdida Escolar Editora, 2009). É co-autor e co-organizador do livro Responsabilidade Social das Organizações – Perspectivas de Investigação: Banca – Empresas Não Financeiras – Indicadores (Edições Pedago, 2008).

Tem como áreas de interesse e de ensino: gestão global e estratégia, governabilidade organizacional, responsabilidade social e ética das organizações, marketing, finanças empresariais, planeamento e controlo de gestão, avaliação do desempenho das organizações. Contacto: jjmring@gmail.com
